Welcome to Vaaniz! These Terms of Service ("Terms") govern your access to and use of the Vaaniz website (vaaniz.com), our point-of-sale (POS) software, inventory management applications, and related services (collectively, the "Services").

By registering for an account, accessing, or using our Services, you ("User," "Client," or "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Services.

1. Description of Services

Vaaniz provides cloud-based software solutions designed for retail and business operations, including point-of-sale interfaces, inventory tracking, E-Way bill generation, and billing analytics. We reserve the right to modify, update, or discontinue certain features of the Services at any time without prior notice.

2. Account Registration and Security

  • Eligibility: You must be at least 18 years old to create a Vaaniz account. Our Services are intended strictly for business-to-business (B2B) and commercial use.
  • Account Accuracy: You agree to provide accurate, current, and complete information during registration and keep it updated.
  • Security: You are solely responsible for safeguarding your account credentials. Vaaniz is not liable for any loss or damage arising from unauthorized access to your account due to your failure to secure your credentials.

3. Subscription, Billing, and Payments

  • Free Trial: We may offer a 30-day free trial. At the end of the trial period, you must select a paid subscription plan to continue using the Services.
  • Fees: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable, except as required by law.
  • Add-ons and Credits: Certain features, such as E-Way Bill generation, may require the purchase of prepaid credits. These credits are non-transferable and non-refundable.
  • Taxes: You are responsible for all applicable taxes, levies, or duties associated with your purchase of the Services.
  • Auto-Renewal: Unless you cancel your subscription prior to the end of the current billing cycle, your subscription will automatically renew.

4. License and Acceptable Use

Subject to your compliance with these Terms and payment of applicable fees, Vaaniz grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business operations.

You agree NOT to:

  • Copy, modify, reverse-engineer, decompile, or distribute any part of the Services.
  • Use the Services for any illegal, fraudulent, or unauthorized purpose.
  • Upload or transmit viruses, malware, or any destructive code.
  • Attempt to bypass or exploit any security or rate-limiting features of the platform.
  • Sell, resell, or lease the Services to a third party without our express written consent.

5. User Data and Privacy

You retain all ownership rights to the business data, customer lists, and inventory information you input into the Services ("User Data"). By using the Services, you grant Vaaniz a worldwide, royalty-free license to host, store, and process your User Data solely for the purpose of providing and improving the Services.

Our use of your personal information is governed by our Privacy Policy.

6. Service Availability and Support

While we strive for 99.9% uptime, the Services are provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Services will be uninterrupted, error-free, or entirely secure. Planned downtime for maintenance will be communicated in advance whenever possible.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VAANIZ, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

IN NO EVENT SHALL VAANIZ’S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL AMOUNTS PAID BY YOU TO VAANIZ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Termination

You may cancel your account at any time through the Vaaniz dashboard. Upon cancellation, your access to the Services will terminate at the end of your current paid billing cycle. We reserve the right to suspend or terminate your account immediately, without notice or liability, if you breach any of these Terms.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Vaaniz is headquartered, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the competent courts of that jurisdiction.
